1. Acceptance of Terms

Welcome to Learningflex. By accessing or using our website, mobile applications, and services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Services.

These Terms constitute a legally binding agreement between you and Learningflex ("we," "our," or "us"). We may modify these Terms at any time, and such modifications will be effective immediately upon posting. Your continued use of our Services following any changes constitutes acceptance of those changes.

2. Eligibility

You must be at least 13 years of age to use our Services. If you are under 18 years of age, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

By using our Services, you represent and warrant that:

  • You have the legal capacity to enter into these Terms
  • You are not located in a country subject to a U.S. government embargo
  • You are not on any U.S. government list of prohibited or restricted parties
  • You will comply with all applicable laws and regulations

3. Account Registration

To access certain features of our Services, you must create an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security and confidentiality of your login credentials
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate your account if any information provided is inaccurate, false, or incomplete, or if you violate these Terms.

Learningflex provides an AI-powered educational platform that includes:

  • Personalized AI tutoring and learning assistance
  • Study materials and content creation tools
  • Progress tracking and analytics
  • Interactive learning experiences
  • Community features and collaboration tools

Our Services are designed to supplement, not replace, formal education. We do not guarantee specific learning outcomes or academic results.

5. AI Services Terms

Our AI-powered features are provided "as is" and may include content generated by artificial intelligence. By using our AI features, you acknowledge and agree that:

  • AI-generated content may not always be accurate, complete, or current
  • You should independently verify any AI-generated information before relying on it
  • AI responses do not constitute professional advice (educational, medical, legal, or otherwise)
  • Your interactions with AI features may be used to improve our Services
  • You will not use AI features to generate harmful, illegal, or inappropriate content

We reserve the right to modify, suspend, or discontinue AI features at any time without prior notice.

6. Subscriptions and Payments

6.1 Subscription Plans

We offer both free and paid subscription plans. Paid subscriptions provide access to additional features and content. Details of each plan are available on our pricing page.

6.2 Billing and Payment

  • Subscription fees are billed in advance on a recurring basis (monthly or annually)
  • You authorize us to charge your designated payment method for all fees
  • Prices are subject to change with notice before the next billing cycle
  • All fees are non-refundable except as required by law or as stated in these Terms

6.3 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period. You will continue to have access to paid features until the end of your paid period.

6.4 Refunds

We generally do not provide refunds for subscription fees. However, you may request a refund within 7 days of your initial purchase if you have not substantially used the Services. Refund requests should be directed to our support team.

7. User Content

7.1 Your Content

You retain ownership of any content you create, upload, or share through our Services ("User Content"). By posting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, copy, modify, and display your User Content as necessary to provide our Services.

7.2 Content Responsibilities

You are solely responsible for your User Content. You agree not to post content that:

  • Violates any law or regulation
  • Infringes any intellectual property or privacy rights
  • Contains malware, viruses, or harmful code
  • Is defamatory, harassing, threatening, or discriminatory
  • Contains explicit, violent, or otherwise objectionable material
  • Promotes illegal activities or harmful behavior

7.3 Content Moderation

We reserve the right to remove, disable, or restrict access to any User Content that violates these Terms or that we deem inappropriate, without prior notice.

8. Intellectual Property

All content, features, and functionality of our Services (excluding User Content), including but not limited to text, graphics, logos, icons, images, audio, video, software, and the compilation thereof, are the exclusive property of Learningflex or our licensors and are protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Services without our prior written consent.

9. Prohibited Uses

You agree not to:

  • Use our Services for any illegal purpose
  • Attempt to gain unauthorized access to our systems or accounts
  • Interfere with or disrupt our Services or servers
  • Use automated systems to access our Services without permission
  • Collect or harvest user information without consent
  • Use our Services to send spam or unsolicited communications
  • Impersonate any person or entity
  • Engage in academic dishonesty using our Services
  • Reverse engineer or attempt to extract source code
  • Circumvent any access controls or usage limits

10. Termination

We may suspend or terminate your access to our Services at any time, with or without cause, with or without notice. Upon termination:

  • Your right to use our Services will immediately cease
  • We may delete your account and User Content
  • You remain liable for any outstanding obligations
  • Provisions that by their nature should survive will survive termination

You may terminate your account at any time by contacting us or using the account deletion feature in your settings.

11. Disclaimers

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT DEFECTS WILL BE CORRECTED. WE DO NOT GUARANTEE ANY SPECIFIC LEARNING OUTCOMES OR RESULTS FROM USING OUR SERVICES.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEARNINGFLEX AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your use or inability to use our Services
  • Any unauthorized access to or use of our servers or your data
  • Any interruption or cessation of our Services
  • Any bugs, viruses, or other harmful code transmitted through our Services
  • Any content obtained from our Services
  • Any AI-generated content or recommendations

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

13. Indemnification

You agree to indemnify, defend, and hold harmless Learningflex and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of our Services
  • Your User Content
  • Your violation of these Terms
  • Your violation of any rights of another party

14. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any dispute arising from these Terms or your use of our Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You agree to waive any right to participate in a class action lawsuit or class-wide arbitration.

15. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Learningflex.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in effect.
  • Waiver: Our failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.
  • Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
  • Notices: We may provide notices to you via email, push notification, or posting on our Services.
